Terms of Service

1. Service

InfraPriv provides metered access to machine-learning inference hosted on operator-controlled GPUs through an OpenAI-compatible API and web console. By creating an account or calling the API you agree to these Terms and the Privacy Policy.

2. Accounts and keys

You must provide a valid email and keep credentials secret. You are responsible for all activity under your account and API keys. Revoking a key in the dashboard takes effect immediately for new requests. You must be at least 18 (or the age of majority where you live).

3. Credits, invoices, and taxes

Credits are prepaid in USD and consumed by metered usage (engine-reported tokens where available). When card payments are enabled, successful payments generate a Stripe invoice and receipt. You are responsible for taxes applicable to your purchases; we may collect tax IDs and billing address for invoicing. GST is included or added as required for Australian supplies.

4. Immediate supply and refunds

Credits are available to spend the moment your payment succeeds. By purchasing, you ask us to begin supplying the service immediately, and you acknowledge that once credits have been consumed you lose any right to cancel that you would otherwise have had for digital content and services, including the 14-day right of withdrawal available to consumers in the EEA and UK.

Unused credits are refundable. Email support@infrapriv.com from your account address and we will refund the unused balance to the original payment method. Credits already consumed by inference are not refundable, because the compute has been delivered and cannot be returned.

Nothing here limits rights you have under applicable consumer protection law that cannot be excluded, including the Australian Consumer Law and remedies where the service is faulty or not as described.

5. Acceptable use

You may not use the service to:

  • Violate law or third-party rights
  • Distribute malware, run unauthorized intrusion, or attack infrastructure
  • Attempt to access other customers' data or bypass rate / spend limits
  • Generate CSAM or content that facilitates severe harm
  • Misrepresent output as human-authored where disclosure is legally required

We may suspend or terminate accounts that violate this policy, with or without notice when needed to protect the platform or comply with law.

6. Your content

As between you and us, you own the prompts and other content you submit and the outputs the service returns to you. We claim no ownership of either. You grant us only the licence required to operate the service: to transmit your content to the inference engine, process it there, and return the result. Consistent with the Privacy Policy, we do not store prompt or completion content, and we do not use your content to train models. The only content we hold is content you choose to keep: playground conversation history and queued batch jobs, both deletable from your account.

You are responsible for your content: for having the rights to submit it, and for ensuring that your submission and your use of outputs comply with law. A data processing agreement is available on request for customers who require one.

7. Model output and model licences

Outputs are probabilistic. We do not warrant accuracy, completeness, or fitness for a particular purpose. You are responsible for human review before relying on output in high-stakes contexts (medical, legal, financial, safety-critical).

The models we serve are open weight models published by third parties under their own licences, and some carry conditions that follow the output (for example attribution or acceptable-use conditions in certain community licences). Those licences are published by each model's developer, and your use of a model and its outputs must comply with the licence that applies to it.

8. Availability and changes

The service is provided as-is without an SLA unless you have a separate written agreement. Pricing and model availability may change; material price changes appear on the Models page before they apply to new usage. Continued use after a Terms update constitutes acceptance of the new version.

9. Termination

You may close your account at any time from the dashboard or by writing to support@infrapriv.com. We may suspend or close accounts as described in section 5, and may otherwise end the service or your access to it on reasonable notice. On closure, your unused credit balance remains refundable as set out in section 4, API keys stop working, and sections of these Terms which by their nature survive (including sections 6, 9, 11, 12, and 14) continue to apply.

10. Export and sanctions

You may not use the service if you are subject to applicable trade sanctions, or if your use would breach export control or sanctions law in your jurisdiction or ours.

11. Indemnity

If you use the service in business, you indemnify Ellem's Towing and Transport Pty Ltd against third-party claims, and the reasonable costs of defending them, to the extent they arise from your content, your breach of these Terms, or your unlawful use of the service. This indemnity does not apply to the extent a claim arises from our own breach or negligence, and does not limit any right you have under law that cannot be excluded.

12. Liability

To the maximum extent permitted by law, Ellem's Towing and Transport Pty Ltd's aggregate liability arising from the service is limited to the amounts you paid for credits in the three months before the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data.

Where legislation implies consumer guarantees that cannot be excluded, our liability for a failure to comply with such a guarantee is limited, to the extent the law permits, to supplying the services again or paying the cost of having them supplied again.

13. Our property and your feedback

The service, the site, our software, and the InfraPrivbrand name and marks are ours or our licensors', and these Terms grant you no rights in them beyond the use of the service they describe. If you send us feedback or suggestions, we may use them without restriction or obligation to you; this does not extend to your content, which section 6 governs.

14. Governing law

These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law rules. Exclusive venue lies in the courts of that jurisdiction, except where consumer law requires otherwise.

15. General

These Terms and the Privacy Policy are the entire agreement between you and Ellem's Towing and Transport Pty Ltd for the service, unless you have a separate written agreement with us. If part of these Terms is found unenforceable, the remainder continues to apply. You may not assign your rights under these Terms without our consent; we may assign ours as part of a reorganisation or sale of the business. We may send notices, including service and billing notices, to your account email address, and you consent to receiving them electronically.
